To be an authorized member of Fan Funded, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the Fan Funded platform as a member. By signing up to Fan Funded, you indicate your acceptance of this agreement and its terms and conditions.

FANFUNDED MEMBER TERMS AND CONDITIONS

Preamble

These Fan Funded Member Terms and Conditions are incorporated into the Fan Funded General Terms and Conditions, and together they govern your relationship with Fan Funded where you apply to become a Member with Fan Funded through the Fan Funded Platform. As a Member, your fans will be able to use the Fanfunded Platform to make financial contributions to you, on the terms and conditions set out in these terms and conditions. Note that additional terms and conditions may apply as set out on the Fan Funded Platform in relation to Members. By signing up or participating as a Member of Fan Funded, you expressly consent to all applicable terms and conditions. 
You will be a Member of Fan Funded from the date that Fan Funded accepts your application until your membership is terminated under these terms and conditions.
Applications

To apply to become a Member, you must sign up to Fan Funded through the Fan Funded Platform. You must provide us with your true identity, physical address, phone number, and other contact information, as well as business and banking information as requested. You must also sign up for a Paypal account, to facilitate payments between you and Fanfunded.
If the Member is an organisation (such as a band in partnership or as a corporation), then the individual who signs up to Fanfunded and the Member warrant that the individual has the full authority of the Member to agree to these terms and conditions on behalf of the Member.

Fan Funded may approve or reject your application in our sole discretion, for any or no reason. If your application is approved, then you will be entitled to the Member Benefits for your class of Member. Please note that we will not approve your application if you are a “Restricted Business” as set out at https://stripe.com/au/restricted-businesses.
Member Benefits

If your application is accepted, Fan Funded will provide you with the following Member Benefits:
Member credentials (including a username, ID number, login password);
and a  “Unique URL”.
Where people sign up to Fan Funded as a Fan using your Unique URL, you are entitled to a proportion of the fee as set out in the Member Payments section below;
Fan Funded Supporting Material, including coaching documents and videos explaining how to best use the Fan Funded Platform; and other material, such as website copy, sample ads, or other creative material, as set out on the Fan Funded Platform. 
Where we provide material to you, we grant you a limited, non-exclusive, non-transferable, revocable right to use such material. You must not modify the material without our express written consent.  You are ultimately responsible for the use or non-use, and errors or omissions, of any material provided to you by Fan Funded.

Fan Funded leaves control of (and responsibility for) your interactions with your fans to you. You expressly agree that Fan Funded may collect information from the use of your Unique URL and your activity on the Fan Funded Platform.
 
Member Obligations

You warrant that the platforms and channels on which you use your Unique URL:
are not illegal nor used in connection with any illegal material;
do not contain, or link to any, material which a reasonable person would consider harmful, threatening, obscene, defamatory, sexually explicit, harassing, or promoting of violence:
do not contain or link to material that promotes discrimination (whether based religion, race, ethnicity, nationality, disability, age, gender, or sexual orientation);
do not promote illegal activities;
do not contains materials that Fan Funded has otherwise identified as objectionable;
do not infringe the intellectual property or related rights of any third party including moral rights, and rights of attribution.
Fan Funded reserves the right to review your use of the Unique URL and impose further restrictions on the use of the Unique URL from time to time.  
Member Payments
 
Fan Funded will pay you 97.5% of the income received from Fans from subscriptions made using your Unique URL (the “Member Commission”) and in support of you, in accordance with the following payment terms.
Fan Funded will pay you your outstanding Member Commission each week (the “Member Payment Period”) (subject to the Holdback Amount), provided you have earned at least AUD$20 in Member Commissions (the “Minimum Payment Threshold”) since the last payment to you. Fan Funded may vary the Member Payment Period and the Holdback Amount in its sole discretion.

Fan Funded will only pay you Member Commission where a Fan has used the Unique URL as the “last link” to sign up for a subscription and make payments to Fan F unded, as determined by Fan Funded. Fan Funded may withhold payment of Member Commission where the payments (or any proportion of it) have been made using the Unique URL in a fraudulent manner or by mistake, using incorrect or incomplete details, or is made in violation of law or these terms and conditions.
Fan Funded may change the attribution of a Fan subscription payment to another Member at the request of the Fan.
Fan Funded may charge back the Member's account or otherwise adjust for payments made contrary to these terms and conditions or in order to correct a misattributed commission.
Fan Funded may offset any amounts due and payable to Fan Funded against any amounts owing to the Member.
Accounting

We will provide you with an invoice on your behalf for all Member Commissions on a periodic basis. You must raise any disputes about an invoice within 30 days of receipt of the funds. If you dispute any portion of an invoice, you must provide us with all details of the dispute in writing sufficient for Fan Funded to conduct a review. If your figures and ours vary by more than 10%, and you have used generally accepted industry methods to record the use of your Unique URL, then you and Fan Funded must make good faith efforts to come to a resolution. If the parties do not arrive at a resolution, then the figures of Fan Funded will prevail.
Confidentiality

You must keep all confidential information about Fan Funded confidential. Confidential information includes information reasonably regarded as being confidential, as well as information that we identify as confidential. Confidential information includes complaints, service and support issues, and information of Fan Funded’s other Members which is not publicly available.
Term and termination

You or Fan Funded may terminate your affiliation with Fan Funded as a Member at any time. If your affiliation is terminated, your licence to use any Fan Funded material is automatically revoked, Fan Funded may disable your Member URL, and Member Commissions will no longer accrue to you. All income received by Fan Funded from Fans who have used your Unique URL may be retained by Fan Funded or distributed in Fan Funded’s discretion.
Your rights to validly accrued Member Commissions survives termination of your affiliation, as do your confidentiality, warranty and indemnity obligations.
